These Terms of Service (“Agreement,” “Terms”) govern the use of the website, services, hosting, consulting, marketing, and technology solutions provided by JNC Media LLC (“JNC Media,” “we,” “our,” or “us”).
By accessing our website, executing a proposal or service agreement, or engaging our services, you acknowledge that you have read and agree to these Terms.
1. Scope of Services
JNC Media provides:
-Website design and development
- Hosting and website management
- Digital marketing and local SEO services
- CRM automation and integration
- Google Business Profile optimization
- Branding and consulting
- Ongoing maintenance and support services
Services may be deliverable under fixed scope, subscription, or retainer models.
Any work not explicitly included in a signed proposal, SOW, or service description will be considered out-of-scope and billed separately.
2. Client Responsibilities
Clients agree to:
- Provide accurate, timely information and approvals
- Supply necessary login access and account credentials
- Respond to requests and approvals within agreed time frames
- Ensure payment methods on file remain valid
- Maintain backups of assets provided to us
- Delays in required inputs may delay delivery timelines.
3. Use of Client Systems & Data Authorization
By hiring JNC Media, you authorize our team to access:
- Websites
- Domain registrars
- CRM systems
- Google platforms
- Social media pages
- Hosting environments
- API connections
- Integrations
This access is used solely for service delivery and may be revoked upon termination and final invoice settlement.
4. Fees, Billing, and Payment Terms
Unless otherwise stated in a contract or invoice:
- One-time project fees are due upon proposal acceptance or as milestone progress payments.
- Subscription/hosting fees are automatically billed monthly.
- Retainers and ongoing services renew automatically unless cancelled in writing with proper notice.
- Late payments may result in:
- Suspension of services
- Site access restrictions
- Deactivation of automation or hosting services
- Late fees or interest where applicable
JNC Media may withhold credentials, access, or deliverables until outstanding balances are resolved.
5. Refunds
Due to the labor-based and digital nature of our work, all payments are non-refundable, except where explicitly agreed in writing.
Subscription payments, hosting fees, third-party licensing fees, setup fees, and production hours are non-refundable once begun or delivered.
6. Intellectual Property & Licensing
a. Client-Owned Materials
All brand assets and content provided by the client remain the property of the client.
b. Work Product Created by JNC Media
Unless otherwise stated in writing, all creative work, structure, frameworks, templates, systems, layouts, automations, and web architecture developed by JNC Media are licensed — not sold — to client for use during active engagement.
Upon termination and satisfaction of outstanding balances:
✔ Website content is transferred
✔ Software frameworks, proprietary automations, development tools, and template systems remain property of JNC Media
We reserve the right to reuse non-identifiable frameworks, strategies, code structures, and methodologies across clients.
7. Hosting, Uptime & Third-Party Service Disclaimer
- Hosting and third-party services are subject to provider performance and availability. - JNC Media does not guarantee:
- uninterrupted uptime
- platform availability
- unlimited storage
- email deliverability
- database retention
We will make reasonable efforts to resolve issues, but hosting, DNS, SAAS, or infrastructure failures fall under third-party responsibility.
8. Service Performance & Marketing Result Disclaimer
Digital marketing, SEO, branding, and automation outcomes rely on external variables. Accordingly, JNC Media does not guarantee:
- SEO rankings
- Revenue increases
- Conversion outcomes
- Lead volume
- Response rates or review rates
- ROI performance
Clients acknowledge responsibility for business outcomes and sales execution.
9. Confidentiality & Non-Disclosure
- Both parties agree to maintain confidentiality over:
- Business strategy
- Pricing
- Proprietary systems
- Personal data
- Client account access
Clients agree not to reverse engineer, copy, license, or distribute JNC Media frameworks, copywriting, automation logic, policies, proposals, templates, or unique service structures.
10. Data Privacy & Security
Our practices for handling personal data are described in our Privacy Policy which is incorporated into this Agreement by reference.
11. Termination
Either party may terminate services by providing written notice per contract terms.
Upon termination:
- Outstanding balances become immediately due
- Hosting or platform access may be suspended
- Final deliverables may be withheld until payment clears
- Retained access tokens will be revoked
Subscription services continue until proper notice is given.
Unless otherwise stated, subscription or hosting cancellations require at least 30 days’ written notice.
12. Indemnification
Client agrees to indemnify and hold harmless JNC Media, its employees, and contractors from:
- claims arising from client misuse, negligence, false advertising, or violations of law
- liabilities stemming from content provided by the client
- misuse of hosted systems
13. Limitation of Liability
To the fullest extent permitted by law, JNC Media’s liability is limited to the lesser of:
one month of service fees paid or the minimum allowed by applicable state law.
We are not liable for:
- lost profits
- lost business opportunity
- incidental or consequential damages
- downtime losses
14. Updates to Terms
- We may revise these Terms at any time. - Updates will be posted with a new “Last Updated” date. - Continued use of services constitutes acceptance.
15. Governing Law
JNC Media LLC is organized in Delaware but operates and contracts under Pennsylvania law.
Accordingly, this Agreement is governed by the laws of the Commonwealth of Pennsylvania, and disputes shall be resolved in Pennsylvania courts.
If any provision of this Agreement is found unenforceable, the remaining provisions shall remain in full force and effect.
